Japanese Food Direct is the trading name of Stella Productions Limited. 

www.Japanesefooddirect.com is offered to you free of charge for your personal use and is subject to these Terms and Conditions. By using www.Japanese fooddirect.com you consent to be bound by the following Terms and Conditions. 

Please note that these Terms and Conditions do not affect your statutory rights. 

Amendments 

We may occasionally make changes to our Terms and Conditions. If this concerns you, you are advised to check the current Terms and Conditions prior to every purchase. If you continue to use www.Japanese fooddirect.com after the date of a change in our Terms and Conditions, your use of www.Japanese fooddirect.com indicates your agreement to be bound by said new Terms and Conditions. 

Registration 

To register to use www.Japanese fooddirect.com you must be over 18 years of age, and must ensure that your details held by us are correct and complete at all times.

Refunds on promotional offers  

Refunds for goods purchased under a promotional offer will be based on the terms of the promotional price. Your statutory rights are not affected.

Japanese Food Defect’s right to suspend or cancel your registration 

Japanese Food Direct may suspend or cancel your registration immediately at our discretion or if you breach any of your obligations under these Terms and Conditions. 

You can cancel this agreement at any time by informing us in writing. If you do so, you must stop using www.Japanese fooddirect.com. 

The suspension or cancellation of your registration and your right to use www.Japanese fooddirect.com shall not affect either party's rights or liabilities. 

Japanese Food Direct’s liability 

www.Japanese fooddirect.com is provided by Stella Productions Ltd without any warranties or guarantees. You must bear the risks associated with the use of the Internet. 

www.Japanese fooddirect.com provides content from other Internet sites or resources and while Stella Productions Ltd tries to ensure that material included on www.Japanese fooddirect.com is correct, reputable and of high quality, it cannot accept responsibility if this is not the case. Stella Productions Ltd will not be responsible for any errors or omissions or for the results obtained from the use of such information or for any technical problems you may experience with www.Japanese fooddirect.com. If Stella Productions Ltd is informed of any inaccuracies in the material on the site we will attempt to correct the inaccuracies as soon as we reasonably can.

Our acceptance of an order takes place on dispatch of the order, at which point the purchase contract will be made and you will be charged for your order.

As a convenience to our customers, www.Japanese fooddirect.com includes links to other web sites or material which are beyond its control. Stella Productions Ltd is not responsible for this external content, or for any other site outside of www.Japanesefooddirect.com. 

Applicable Law 

These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales and any disputes will be decided only by the English courts. 

International Use 

Stella Productions Ltd makes no promise that materials on www.Japanese fooddirect.com are appropriate or available for use in locations outside the United Kingdom, and accessing www.Japanese fooddirect.com from territories where its contents are illegal or unlawful is prohibited. If you choose to access this site from locations outside the United Kingdom, you do so on your own initiative and are responsible for compliance with local laws. 

Expiry Date on Payment Card 

Please ensure that the expiry date of your payment card is after the date you place your order. Payment is taken when your order is ready to be posted and in the event that the payment card has expired we will be unable to take payment and fulfil your order. 

Prices 

We will make all reasonable efforts to present accurate information but we cannot guarantee the price or our ability to supply any particular item. 

All prices shown on www.Japanese fooddirect.com are to be seen as guide prices, and do not constitute an offer to sell. Formal formation of a contract and acceptance of your order only occurs once we dispatch your ordered goods from our store. Until we formally accept your order, placement of an order will constitute an offer to purchase. 

Occasionally our suppliers may increase their prices unexpectedly, and this is often something we become aware of only upon ordering stock from them. In the event that this occurs, or in the event of a pricing error howsoever caused, we will check with you to see if you still wish to receive the item at the new price. All prices are displayed in pounds sterling (£), and include VAT where applicable. 

To comply with current VAT distance selling regulations, we now charge the applicable VAT rate for any country for which we exceed the distance selling threshold. This currently includes: Australia, Canada, Denmark, France, Germany, Holland, Ireland, Italy and Spain. 

For further information on VAT distance selling regulations and selling thresholds please contact the relevant VAT authority for the country concerned. 

Availability 

If for any reason beyond our reasonable control, we are unable to supply a particular item, we will not be liable to you. 

Please note that we will attempt to deliver substitute lines should selected lines be unavailable unless you request us not to do so. You can also select to have the item removed from your order if you do not wish to accept an alternative product. 

Substituted lines will normally be of identical or higher value than the original item ordered. In cases where the replacement item is of differing value, you will be charged the lesser of the two prices. Where a change to your order contents occurs, you will be notified by email. If it is impossible to substitute an item, we will remove the item from the order and deduct the item price from the total order cost accordingly. 

If you are unsatisfied with the choice of substitution, please contact us as soon as possible and we will attempt to rectify the problem within reason. Please note that we aim to dispatch your order as soon as possible.  For most orders placed Monday to Friday this will mean dispatch within three business days.  We can make alterations to your order up to the point of dispatch, however, once dispatched any changes to your order will have to be made via our standard returns process (below). 

Although we will always try to cater for your orders, an order of large quantities of a line can only be fulfilled at our discretion.  For example, if you were to make an order of 10 bottles of sake which would use up all of our stock, we may only deliver 5 bottles. 

Acceptance & Contract 

There will be no contract of any kind between you and us unless and until we actually dispatch the goods to you. Your order is an offer to buy from us. Nothing that we do or say will amount to any acceptance of that offer until we actually dispatch the goods to you.  At any point up until then, we may decline to supply the goods to you without giving any reason.  At the moment that the goods are dispatched (and not before), a contract will be made between you and us. 

www.Japanese fooddirect.com is available for non-commercial and domestic use only. Stella Productions Ltd reserves the right to refuse orders from businesses or that we consider are for commercial or other non-domestic concerns. 

Payment 

Please note that for online sales we take payment at the point of dispatch and not at the checkout stage. 

Please be also aware that on some bank cards our initial check for sufficient funds, taken on receipt of your order, may appear like a payment on your statement.  This is known as a 'Shadow Payment'.  This amount is not taken by www.Japanese food direct.com, but taken by your bank and held, appearing like a transaction.  We take one single payment on dispatch of your order and any amount held by your bank should be accredited back to your account within a week.  Japanese Food Direct's online system allows for only one payment to be taken.  If you have further queries about shadow payments please contact your bank.  Japanese Food Direct will not take any responsibility should any extra charged be applied to you by your bank as a result of your bank holding on to your 'Shadow Payment'. 

Delivery  

All our deliveries are carried out using the external carriers of either Parcel Force or Royal Mail depending on choice.  As such we are subject to their terms and conditions. 

Once your order has been received by us, we aim to dispatch your goods within 3 business days (Mon-Fri). However dispatch is subject to stocking levels, and for certain items (books in particular) there may be a long lead time. In such cases we will contact you for further instructions. 

Once we have dispatched your goods, you should normally receive them within the timeframe of the delivery type chosen.  However, while we maintain a close relationship with our delivery companies, and will attempt to rectify any delivery problems as soon as reasonably possible, the operation of the delivery companies we use is outside our control.  Time of delivery shall not be subject to any contractual obligation, and Stella Productions Ltd does not offer any guarantee that your order will arrive within the delivery time-frame chosen.  In the event of the delay of delivery of your order or a mistake in the order itself Stella Productions Ltd accepts no liability for any associated expense, loss of profits or other losses incurred whatsoever.  Failure to deliver on time will not entitle the customer to terminate their purchase contract with Stella Productions Ltd, or refuse delivery.  Returns should be made using the instructions below. 

Whilst we make every effort to deliver all your goods in the agreed time, we will not be liable if we fail to do so in part or in full due to circumstances beyond our control. 

Delivery will be made to the address specified by you on the completed order form. We reserve the right to charge for any extra carriage costs incurred should the incorrect address by entered on your order.  Until dispatch of your order please contact us to amend or add any delivery details. 

Refunds and Returns  

Stella Productions Ltd operates a returns policy in accordance with the UK Distance Selling Regulations allowing you to return any item within 7 working days of receiving delivery of your order.  Please note that any postage costs incurred when returning your items during this period will be at your own cost, unless the item is damaged, or was sent in error. 

This policy does not extend to any items which have been opened or whose seal has been broken, perishable items, sealed audio, video recordings or computer software (which have been unsealed), and also does not include the refund of services carried out by Japanese  Food Direct as part of your contract (e.g. handling costs).  Items must be returned in pristine and resalable condition.  This policy does not affect your statutory rights. 

After the 7 day period we will be more than happy to accept items for return in any of the following cases:  

The item was found to be damaged or faulty.  We will either replace the item or give you a full refund (including postage costs).  Please state which option you would prefer. If you require a replacement, we will wait to receive the faulty copy from you before dispatching a new one. 

The item was incorrectly supplied.  If we have made a mistake in fulfilling your order, a full refund (including postage costs) will be given. 

It must be in pristine and resalable condition. It must be accompanied by a copy of the delivery note or receipt. 

Returns Instructions  

Items supplied to customers should be returned in their original packaging to:

Please make sure you contact us before returning any item. Any item returned without our knowledge will be refused. 

Please also note that the items remain your property until we have received them.  You are therefore responsible for your goods while they are in transit to us.  For your own protection we recommend using a secure recorded delivery method such as Royal Mail Special Delivery. 

Provided the conditions above are met Stella Productions Ltd will refund the item(s), and postage where applicable. 

Please note that returns are accepted at the discretion of Stella Productions Ltd. If any goods are returned which do not adhere to the above policy, then we reserve the right to impose a charge proportionate with the costs of processing the items re-sale. Refunds will be given in the same tender type as the original payment. 

Please allow 28 days (in addition to the delivery time) for the return and refund to be processed. 

Miscellaneous 

You may not assign, sub-license or otherwise transfer any of your rights under these Terms and Conditions. 

If any provision of these Terms and Conditions is found to be invalid by any court having competent jurisdiction, the invalidity of that provision will not affect the validity of the remaining provisions of these Terms and Conditions, which shall remain in full force and effect. 

If you breach these Terms and Conditions and Stella Productions Ltd ignores this, Stella Productions Ltd will still be entitled to use its rights and remedies at a later date or in any other situation where you breach the Terms and Conditions. 

Stella Productions Ltd shall not be responsible for any breach of these Terms and Conditions caused by circumstances beyond its control. 

A person who is not a party to these Terms and Conditions shall have no right under the Contract (Rights of Third Parties) Act 1999 to enforce any term of these Terms and Conditions but this shall not affect any right or remedy of a third party which exists or is available apart from that Act.
